PLEASE READ THESE TERMS CAREFULLY. They contain important information regarding the limits of our liability, a binding arbitration provision, and a class-action waiver.

17. Indemnification

You agree to defend, indemnify, and hold harmless the Firm Parties from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees and disbursements) arising out of or relating to (a) your violation of these Terms; (b) your misuse of the Site; (c) your violation of any applicable law or regulation; or (d) your violation or alleged violation of any right of a third party in connection with your use of the Site. Silver Hook reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification, in which case you agree to cooperate with our defense.

18. Governing Law; Dispute Resolution; Arbitration; Class-Action Waiver

These Terms and any dispute or claim arising out of or related to them, the Site, or your relationship with Silver Hook (collectively, “Disputes”) shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to its conflict-of-laws principles. The Federal Arbitration Act shall govern the interpretation and enforcement of the arbitration provisions of these Terms.

The parties shall first attempt in good faith to resolve any Dispute through informal negotiation by sending a written notice to info@silverhookcapital.com describing the Dispute and the relief sought. If the Dispute is not resolved within sixty (60) days of receipt of such notice, the Dispute shall be finally resolved by binding arbitration administered by JAMS in Dallas, Texas, in accordance with its then-current Comprehensive Arbitration Rules and Procedures, before a single arbitrator. The arbitrator shall have exclusive authority to resolve all threshold issues of arbitrability. Judgment upon the award may be entered in any court of competent jurisdiction.

CLASS-ACTION WAIVER. ALL DISPUTES MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF MULTIPLE PARTIES AND MAY AWARD RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF.

Notwithstanding the foregoing, either party may bring an individual action in small-claims court, and either party may seek injunctive or other equitable relief in a court of competent jurisdiction located in Dallas County, Texas to protect its intellectual property or confidential information. You consent to the personal jurisdiction of, and exclusive venue in, the state and federal courts located in Dallas County, Texas for any such proceeding.

19. Term and Termination

These Terms remain in effect while you use the Site. We may suspend or terminate your access to all or any part of the Site at any time, with or without notice, for any reason or no reason, including for any breach or suspected breach of these Terms. All provisions that by their nature should survive termination shall survive, including, without limitation, sections relating to intellectual property, disclaimers, indemnification, limitation of liability, and dispute resolution.

20. Miscellaneous

These Terms, together with the Privacy Policy and any other agreements expressly referenced herein, constitute the entire agreement between you and Silver Hook with respect to the Site and supersede all prior or contemporaneous communications regarding such subject matter. If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision will not be deemed a waiver of such right or provision. You may not assign these Terms or any rights or obligations hereunder without our prior written consent; any purported assignment in violation of this provision is void. We may assign these Terms in our sole discretion without notice to you. Headings are for convenience only and do not affect interpretation. The terms “include,” “including,” and similar terms shall be construed as if followed by the phrase “without limitation.”

21. Notice to U.S. Government Users

The Site is comprised of “commercial computer software” and “commercial computer software documentation” as those terms are used in the Federal Acquisition Regulation. Any use, modification, reproduction, release, performance, display, or disclosure by the U.S. Government will be governed solely by these Terms.
